1. Introduction

Welcome to VerAIQ, a quality assurance readiness assessment tool operated by Qube Catalyst. These Terms of Service ("Terms") govern your access to and use of VerAIQ's website, services, and applications (collectively, the "Service").

By creating an account or using our Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Service Description

VerAIQ is an AI-powered quality assurance assessment platform that:

• Generates personalised test plans based on your product information
• Provides readiness scoring and confidence metrics
• Produces detailed PDF reports with recommendations
• Stores test plans and assessment data for your review

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Registration

To use VerAIQ, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful and current information during registration
• Maintain the security of your password and account
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By creating an account, you represent and warrant that you meet these requirements.

3.3 Account Termination

You may terminate your account at any time through your dashboard. We may suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscriptions and Payments

4.1 Early Access Subscription

VerAIQ offers an Early Access subscription at £19.50 per month. Subscription benefits include:

• Unlimited test plan generation
• Access to AI-powered assessment features
• PDF report downloads
• Plan storage and management

4.2 Billing and Renewal

Subscriptions automatically renew on a monthly basis unless cancelled. You will be charged the subscription fee at the beginning of each billing cycle. You authorise us to charge your payment method for all applicable fees.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused service time, except as required by law.

4.4 Price Changes

We reserve the right to change our subscription prices with at least 30 days' notice. Price changes will apply to subsequent billing cycles after notice is provided.

5. Use of the Service

5.1 Permitted Use

You may use VerAIQ only for lawful purposes and in accordance with these Terms. You agree to use the Service professionally and ethically for quality assurance assessment.

5.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal or unauthorised purpose
• Attempt to gain unauthorised access to our systems or networks
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Share your account credentials with others
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Violate any applicable laws or regulations

6. Your Content and Data

6.1 Content Ownership

You retain ownership of all information, data, and content you provide to VerAIQ ("Your Content"). By using the Service, you grant us a limited licence to use Your Content solely to provide and improve the Service.

6.2 Data Processing

We process your data in accordance with our Privacy Policy. We use industry-standard security measures to protect your information, including encryption and secure storage via Supabase.

6.3 AI-Generated Content

Test plans and recommendations generated by our AI are provided "as is" and should be used as guidance only. You are responsible for validating and implementing any recommendations in your specific context.

6.4 Data Retention

We retain your test plans and assessment data for as long as your account is active. Upon account termination, your data will be deleted in accordance with our Privacy Policy, typically within 30 days.

7. Intellectual Property

7.1 Our IP Rights

VerAIQ and all related trademarks, logos, and service marks are the property of Qube Catalyst. The Service's design, features, software, and underlying technology are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes, subject to these Terms. This licence does not include any resale or commercial use of the Service.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

8.2 AI Accuracy

While we strive for accuracy, AI-generated test plans and recommendations may contain errors or omissions. YOU ARE SOLELY RESPONSIBLE for reviewing, validating, and implementing any AI-generated content. We make no guarantees about the completeness or accuracy of AI outputs.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUBE CATALYST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorised access to or use of your data
• Any errors or omissions in AI-generated content
• Any business decisions made based on Service outputs

Our total liability to you for any claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Qube Catalyst, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or data submitted to the Service

10. Third-Party Services

VerAIQ integrates with third-party services including:

• Claude: For AI-powered test plan generation
• Stripe: For payment processing
• Supabase: For data storage and authentication

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of third-party providers.

11. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by any of the following:

• Posting the updated Terms on our website
• Updating the "Last Updated" date at the top of this page
• Sending an email notification for significant changes

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qube Catalyst regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, or failures of third-party services.
